Help us understand how Novilyze is used?

We would like to measure how people use the product. It sets cookies in your browser and links what it records to your account. It is entirely optional and Novilyze works exactly the same either way.

Terms of Service

These terms constitute the agreement between you and Novilyze governing your use of the Service. Novilyze is operated in Israel by Guy Tagger, trading as Novilyze. Creating an account after selecting the acceptance checkbox constitutes your express acceptance of these terms and the Privacy Policy. If you use the Service on behalf of an employer, you confirm that you are authorised to accept them on its behalf. Read them together with our Refund Policy.

The service

Novilyze transcribes meeting recordings and produces summaries, action items and searchable project context from them. Features may change as the product develops.

An early version

Novilyze is a first version: it is in beta and under active development, including its security.

Expect rough edges. You may meet errors, interruptions or wrong output, and features may change or be removed as the product develops.

As the product changes we may need to migrate stored data and, rarely, to reset some of it. A planned reset is announced in advance, as early as we can, with a way to export your content first. Keep your own copy of any recording or output you cannot afford to lose; a recording is in any case deleted seven days after processing, as the Privacy Policy describes.

We do not promise uninterrupted service or a response time during this period. Where the Service did not work and we could not put it right, the Refund Policy applies.

If you send us feedback or suggestions, we may use them to improve Novilyze without owing you anything for them.

Nothing in this section limits a right you have under Israeli consumer law, including the right to cancel described in the Refund Policy.

Where Novilyze is offered

Novilyze is operated from Israel and is intended for people and businesses in Israel. It can be reached from other countries, but we do not direct it at any other country and do not adapt it to other countries' laws.

If you use Novilyze from outside Israel, you do so on your own initiative and are responsible for your local law, including any rule on recording other people.

Your account

An account is required to use Novilyze, and you must give a working email address. You are responsible for keeping your credentials safe and for anything done through your account.

One account is for one person. Do not share credentials.

You must be at least 18 to open an account. Israeli law treats anyone under 18 as a minor whose agreements can be undone by a parent or guardian, so we do not offer accounts below that age.

Permission to upload and process: your responsibility

This is the principal obligation under these terms, and it extends beyond the act of recording itself.

First, you must hold the legal right to record. In Israel, the Secret Monitoring Law, 5739-1979 generally permits the recording of a conversation to which you are a party, and recording a conversation between other people without being a party to it may be a criminal offence. Rules elsewhere differ and are frequently stricter, and some require the agreement of every participant. Where you are unsure, take your own advice.

Second, you must hold the right to have that recording processed on your behalf as the Service processes it: uploaded, transcribed, separated by speaker, summarised and searched, including where the content concerns other people.

Third, and separately, saving voices is off by default. If you turn it on in Settings, you must hold the permission of each person whose voice is then stored for a biometric voiceprint of them to be created and kept. Leaving it off affects nothing else: naming a speaker still labels the meeting.

Novilyze does not obtain any of these permissions on your behalf and is not responsible for content uploaded without them. Where a person asks us to delete a voiceprint of themselves, we will do so.

Your content

Your recordings, transcripts, summaries and notes remain yours. We claim no ownership of them.

You grant us only the licence necessary to operate the Service for you: to store, process and transfer the Content to the categories of processors described in the Privacy Policy so that it can be transcribed, summarised and searched. This licence ends when the Content is removed from active systems, except that encrypted copies may remain in backups for up to 30 days. Backup copies are not used during that period except where a backup must be restored for disaster recovery.

Deleted content is removed from the active systems immediately and leaves the encrypted backups within 30 days, as the Privacy Policy describes.

Shared projects

A project owner on a plan that includes sharing can invite other Novilyze accounts into a project. Every member sees everything in it: recordings, transcripts, speaker labels, summaries, tasks, notes and the project chat. Voiceprints are never shared.

Every member may edit what the project holds: correct a transcript, name a speaker, change a task or a note, and upload recordings of their own. Only the person who uploaded a recording, and the project owner, may delete it.

When a member leaves or is removed, the content they uploaded remains in the project for its remaining members: it was shared with the project, not lent to it. The person who left no longer has access to the project. Before leaving, a member may delete recordings they uploaded; after they leave, the project owner may delete project content. Requests concerning privacy rights will be handled in accordance with the Privacy Policy and applicable law. Deleting a project deletes everything in it for everyone.

Inviting someone means you accept that they will see and may change the project's content. Invite people you trust with it, and remove them when that stops being true.

AI output is not guaranteed to be accurate

Transcripts, speaker labels, summaries and action items are produced by machine-learning models. They contain errors, misheard words, misattributed speakers, and summaries that omit or overstate things. Accented speech and code-switching between languages make this more likely.

Do not rely on Novilyze output as an authoritative record of what was said. Verify anything that carries legal, medical, financial or contractual weight against the recording itself.

Acceptable use

Do not upload content you have no right to upload, use Novilyze to break the law or infringe anyone's rights, attempt to access other accounts, reverse-engineer or resell the service, or place automated load on it beyond normal use.

We may suspend an account that does any of these.

Plans and billing

The free plan has a monthly limit on meetings and a maximum length per recording, shown on the pricing page. Paid plans raise those limits.

Monthly plans are billed monthly and annual plans are billed annually in advance at the price displayed at checkout. A subscription renews automatically until it is cancelled.

The price applicable to your subscription is the price shown when you purchase it. A change to the prices published on our website applies only to new purchases unless we expressly notify you that it will also apply to existing subscriptions. A price change affecting an existing subscription will be communicated at least 30 days before the renewal on which it takes effect, allowing you to cancel the renewal before the new price is charged.

We publish our prices in US dollars, on every page, to every visitor. Polar's checkout may present and charge you in the currency that applies where you are, and the amount shown there is the amount you pay.

Promotions

We sometimes offer a plan at a reduced price. A promotion may be offered to everyone, to a country, or to particular accounts, and it applies by itself where it applies: there is no code to enter.

A promotion states how long it lasts, and it lasts only that long. Where it covers a set number of payments, the standard price applies from the payment after that, and where it has an end date, the standard price applies from the first renewal after that date. The price you will pay next is always shown in the billing controls in your account.

Only one promotion applies at a time. Promotions are not combined, and where more than one would apply the one aimed most specifically at you is the one that does.

A promotion is not a permanent right. We may stop offering one at any time, which affects new purchases only and never a discount already running on your subscription, and a promotion does not apply to anything you have already paid for.

If you are entitled to a refund for a payment to which a discount applied, the refund will be calculated based on the amount actually paid, not the regular price.

Payments through Polar

Paid subscriptions bought through our checkout are sold by Polar Software, Inc., which acts as our authorised reseller and Merchant of Record. The purchase transaction is with Polar: it takes the payment, charges and remits any transaction taxes, and issues the receipt or invoice. Polar's own checkout terms apply to that transaction.

We remain responsible for providing the Service and for supporting you in it, and your right to use Novilyze is governed by these terms.

In short: these terms govern your use of Novilyze; the purchase itself, the billing, the taxes, the invoice and any refund of money are handled with Polar.

Cancelling renewal, and refunds

Cancellation is done from Settings, Billing in your account, or through Polar's customer portal, which you reach from the same place.

You may cancel the automatic renewal at any time. An ordinary cancellation takes effect at the end of the current billing period. Until then you keep the benefits of the plan you paid for, and no refund or credit is given for an unused part of the billing period.

Payments made are non-refundable, except where a refund is required by law that cannot be contracted out of, where a charge was wrong or duplicated or the Service was not delivered, or where Polar, as Merchant of Record, decides otherwise under its terms and the rules of the payment method.

Where applicable law grants a right to cancel a distance transaction after the Service has begun, any refund, if required, will be limited to the amount required by law. To the extent permitted by law, the proportionate charge for the Service already provided and any legally permitted cancellation fee may be deducted from the refund. Access to the paid plan will end when the statutory cancellation takes effect.

Nothing in this section derogates from a consumer right that cannot be contracted out of.

Changing plan

An upgrade to a plan with greater benefits or higher usage limits takes effect immediately. You will be charged the prorated difference for the remainder of the current billing period. The amount of the charge will be shown before you confirm the change.

A change to a plan with fewer benefits or lower usage limits takes effect at the beginning of the next billing period. Until then, you will continue to receive the benefits of the current plan, and no refund or credit will be provided for the difference.

A change from monthly to annual billing takes effect on the date and at the price shown before you confirm the change. A change from annual to monthly billing takes effect at the end of the annual billing period already paid for. No refund will be provided for the unused portion of the annual billing period.

A change that has been scheduled but has not yet happened can be changed again or called off before the date, and so can a cancellation. Asking for a different change replaces the one already scheduled rather than adding to it.

Availability

We aim to keep Novilyze available but do not promise uninterrupted service. Maintenance, provider outages and failures of the third-party models we depend on can interrupt it.

Termination

You may close your account at any time. We may suspend or terminate an account that breaches these terms, or that is being used in a way that endangers the service or other users.

Export anything you want to keep before closing your account. After termination your content is deleted.

If someone else brings a claim about what you uploaded

Where a claim is brought against us because you uploaded content in breach of the obligations above, you will cover our reasonable costs of addressing that claim, including legal fees, and any sum we are ordered to pay in consequence.

This applies only to the extent the claim results from your breach. It does not apply where the claim arises from our own act or omission, and it does not limit any right you have as a consumer under Israeli law. We will notify you promptly of any such claim and will not settle it on terms binding upon you without first consulting you.

Our own intellectual property

Novilyze, including the software, the interface, the name and the brand, is and remains ours. These terms grant you the right to use the Service and confer no ownership in any part of it. Nothing here transfers any intellectual property to you.

Your content is treated in the opposite way. Your recordings, and everything derived from them, remain yours, and we claim no ownership in them. We do not claim ownership of the summaries or transcripts the Service generates.

Disclaimers and limitation of liability

Novilyze is provided as is, without warranties of any kind to the extent the law allows.

To the extent the law permits, we are not liable for indirect or consequential damage, or for lost profits or lost business. Where you have paid for the Service, our total liability for any claim is limited to the amount you paid in the twelve months before it arose.

This limit does not apply to bodily injury, or to damage we cause deliberately or through gross negligence.

Nothing here excludes liability that cannot be excluded by law.

Governing law

These terms are governed by the laws of the State of Israel, and disputes will be heard by the competent courts in Israel. Nothing here affects any right you have to bring a claim where the law entitles you to bring it.

Changes to these terms

We may update these terms as Novilyze develops, and during this early period we expect to do so more often than an established service would. Each version carries its date at the top.

A change that reduces your rights, adds a new use of your data, or changes what a paid plan includes is announced by email to account holders at least 30 days before it takes effect, and shown in the app when you next sign in. Other changes take effect when they are published.

If you do not agree to a change, close your account before it takes effect. Continuing to use Novilyze after that date means you accept the updated terms.

Where applicable law requires express consent to a particular change, we will request that consent separately and will not rely solely on continued use of the Service.

To report content on Novilyze that concerns you or infringes your rights, write to the same address with what the content is, where it is and why. We aim to review within seven business days, may remove it or disable access to it, and tell the account holder. Security reports go to the same address.
